Skillsok Terms and Conditions

Welcome to Skillsok, a platform designed to connect freelancers ("Sellers") with clients seeking services ("Buyers"). By accessing or using our website, services, and applications (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). Please read them carefully. If you do not agree to these Terms, you may not use the Platform.

1. Acceptance of Terms

By creating an account, posting a service, purchasing a service, or otherwise using the Skillsok Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines posted on the Platform. These Terms constitute a legally binding agreement between you and Skillsok.

2. Definitions

  • Skillsok: Refers to the Skillsok platform, its operators, and all associated services.

  • User: Any individual or entity accessing or using the Platform, including both Buyers and Sellers.

  • Seller (Freelancer): A User who offers and performs services ("Gigs") on the Platform.

  • Buyer (Client): A User who purchases services ("Gigs") from Sellers on the Platform.

  • Gig: A service offered by a Seller on Skillsok.

  • Order: The formal agreement between a Buyer and a Seller for a Gig, initiated through the Platform.

  • Skillsok Balance: The accumulated revenue of a Seller from completed Orders or funds deposited by a Buyer.

  • Dispute: A disagreement between a Buyer and a Seller regarding an Order.

3. User Accounts

  • Registration: To use certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

  • Eligibility: Users must be at least 18 years old to use the Platform. By creating an account, you represent and warrant that you are at least 18 years of age.

  • Account Security: You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify Skillsok immediately of any unauthorized use of your account. Skillsok will not be liable for any loss or damage arising from your failure to comply with this security obligation.

  • Multiple Accounts: You may not maintain more than one active account.

  • Account Transfer: Accounts are non-transferable.

4. Buyer Terms

  • Purchasing Gigs: Buyers can purchase Gigs offered by Sellers. When purchasing a Gig, you agree to pay the listed price for the service.

  • Payment: Payments are processed securely through the Platform's designated payment gateway. Skillsok collects payment from the Buyer at the time of Order creation.

  • Communication: Buyers should communicate clearly with Sellers regarding their requirements and expectations.

  • Order Completion: Once an Order is marked as complete by the Seller, the Buyer has a limited time (e.g., 3 days) to review and accept the work or request revisions. If no action is taken within this period, the Order will be automatically marked as complete.

  • Cancellations & Refunds: Orders can be cancelled by mutual agreement between the Buyer and Seller, or by Skillsok under specific circumstances (e.g., violation of Terms, non-delivery). Refunds are issued according to Skillsok's Refund Policy.

  • Feedback: Buyers can leave feedback and ratings for Sellers upon Order completion. This feedback should be fair, accurate, and professional.

5. Seller Terms

  • Creating Gigs: Sellers can create Gigs to offer their services. Gigs must be clear, detailed, and accurately represent the service offered.

  • Service Quality: Sellers are responsible for delivering high-quality work as described in their Gig.

  • Delivery: Sellers must deliver completed work within the agreed-upon timeframe.

  • Communication: Sellers must communicate promptly and professionally with Buyers.

  • Earnings: Skillsok takes a commission from each completed Order. The remaining amount is credited to the Seller's Skillsok Balance upon Order completion.

  • Withdrawals: Sellers can withdraw funds from their Skillsok Balance once they meet the minimum withdrawal threshold and after a security clearance period. Withdrawal methods and fees will be specified on the Platform.

  • Feedback: Sellers are subject to Buyer feedback and ratings. Maintaining a high rating is crucial for success on the Platform.

  • Prohibited Gigs: Sellers may not offer services that are illegal, infringe on intellectual property rights, are sexually explicit, or violate any of Skillsok's policies.

6. Payments and Financial Terms

  • Currency: All transactions on Skillsok are conducted in a currency specified by Skillsok (e.g., USD).

  • Fees: Skillsok charges a commission fee on each transaction. These fees are subject to change and will be clearly communicated on the Platform.

  • Payment Processing: All payments are processed through third-party payment processors. Skillsok is not responsible for any issues or delays caused by these processors.

  • Taxes: Users are responsible for paying any taxes associated with their use of the Platform, including income tax on earnings for Sellers.

7. Disputes and Cancellations

  • Dispute Resolution: In case of a dispute, Buyers and Sellers are encouraged to resolve the issue amicably. If they cannot, Skillsok's customer support team can mediate.

  • Order Cancellation: Orders can be cancelled by mutual agreement, or by Skillsok if there is a violation of these Terms, non-delivery, or other valid reasons.

  • Refunds: Refunds are processed according to Skillsok's Refund Policy, which may include partial or full refunds depending on the circumstances.

8. User Conduct and Responsibilities

  • Lawful Use: You agree to use the Platform only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Platform.

  • Prohibited Activities: You agree not to engage in any of the following prohibited activities:

    • Violating any applicable laws or regulations.

    • Infringing on the intellectual property rights of others.

    • Posting false, misleading, or fraudulent information.

    • Engaging in any form of harassment, abuse, or discrimination.

    • Attempting to circumvent the Platform's payment system (e.g., off-platform payments).

    • Distributing viruses or any other harmful computer code.

    • Collecting or harvesting any personally identifiable information from the Platform.

    • Impersonating any person or entity.

  • Intellectual Property: All content on Skillsok, including text, graphics, logos, and software, is the property of Skillsok or its licensors and is protected by intellectual property laws. Users retain ownership of the intellectual property they create and upload to the Platform, but grant Skillsok a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display such content for the purpose of operating and promoting the Platform.

  • Confidentiality: Users agree to keep confidential any proprietary or sensitive information shared during the course of an Order.

9. Disclaimer of Warranties

THE SKILLSOK PLATFORM AND ITS SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SKILLSOK DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKILLSOK, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (III) ANY CONTENT OBTAINED FROM THE PLATFORM; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Skillsok, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms.

12. Modifications to Terms

Skillsok reserves the right to modify these Terms at any time. We will notify you of any changes by posting the updated Terms on the Platform. Your continued use of the Platform after such modifications constitutes your acceptance of the revised Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Your Country/State - e.g., Bangladesh], without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in [Your City/Region - e.g., Sirajganj] to resolve any dispute arising out of these Terms or the Platform.

14. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any other policies published on the Platform, constitute the entire agreement between you and Skillsok regarding your use of the Platform.

  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

  • Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

  • Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Skillsok's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. Skillsok may assign or transfer these Terms, at its sole discretion, without restriction.
